End User License Agreement

This End-User License Agreement (“EULA”) is a legal agreement between Quandify AB, a company registered in Sweden (“Quandify”, “we”, “our”, or “us”), and the end-user (“you” or “User”) of Quandify-branded hardware and software. By installing, activating, or using any Quandify device, application, or related service, you agree to be bound by this EULA. If you do not agree, do not install or use the software.

1. Definitions

Device
Any hardware product manufactured or supplied by Quandify AB.

Software
All firmware, embedded code, mobile applications, and cloud components provided by Quandify.

Services
Online features and platform functionality enabling the operation of Quandify devices.

Documentation
User guides, manuals, and specifications supplied by Quandify.

2. License grant

Quandify grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software and Services solely:

  • for operating Quandify devices,
  • in accordance with this EULA, the Terms of Service, and the Privacy Policy, and
  • for your internal or personal use (no resale or sublicensing).

All rights not expressly granted remain the property of Quandify.

3. Ownership and intellectual property

  • The Software, firmware, algorithms, and Documentation are protected by copyright and international IP laws.
  • This EULA does not transfer ownership.
  • Copying, translating, reverse-engineering, decompiling, or modifying the Software is prohibited unless explicitly permitted by applicable law.

4. Permitted and prohibited use

You may:

  • install Quandify apps on supported devices;
  • access Quandify Platform and APIs for authorised integrations;
  • make backup copies solely for recovery purposes.

You may not:

  • rent, sell, sublicense, or distribute the Software to others;
  • attempt to bypass technical protection or authentication;
  • use the Services to collect data unlawfully or infringe privacy rights;
  • use the Software in safety-critical environments without written approval.

5. Updates and upgrades

Quandify may automatically provide updates or patches to improve security or functionality. By using the Software, you consent to receive such updates. Major feature upgrades may be subject to additional terms or fees.

6. Data collection and privacy

Quandify devices and Software generate operational data necessary for functionality and analytics. Data processing is governed by the Privacy Policy.

Quandify acts as:

  • Controller for consumer accounts;
  • Processor for business deployments under a Data Processing Agreement.

No personal data are sold or shared without consent.

7. Support and maintenance

Quandify provides reasonable technical support through its Resource Center (https://support.quandify.com/) and authorised partners. Support response times depend on your support plan or reseller agreement.

8. Warranty disclaimer

To the extent permitted by law, the Software is provided “as is” and “as available.” Quandify does not guarantee that the Software will be error-free or uninterrupted. For consumers, statutory rights under EU and Swedish law remain unaffected.

9. Limitation of liability

Except where prohibited by law:

  • Quandify’s total liability for any damages shall not exceed the price paid for the device or one year of subscription, whichever is higher.
  • Quandify is not liable for indirect, incidental, or consequential losses (e.g., lost profits, data loss, or property damage).
  • Nothing limits liability for death or personal injury caused by negligence, fraud, or willful misconduct.

10. Term and termination

This license remains valid until terminated.

By you
You may terminate by uninstalling the Software and deleting your account.

By Quandify
Quandify may terminate the license if you breach this EULA or applicable law.

Upon termination, you must stop using the Software and destroy or delete all copies.

Sections 3, 8, 9, 12, and 13 survive termination.

11. Export and compliance

You agree to comply with all applicable export-control laws and sanctions regulations.
You may not use Quandify products in jurisdictions subject to EU or Swedish trade restrictions.

12. Governing law and dispute resolution

This EULA is governed by Swedish law, excluding conflict-of-law principles.

Consumers
May bring claims before Swedish courts or their local EU consumer courts.

Business users
Disputes shall be settled according to separate agreements.

13. Entire agreement

This EULA, together with Quandify’s Terms of Service and Privacy Policy, constitutes the entire agreement between you and Quandify regarding the Software and Services and supersedes any prior oral or written statements.
